"Pursuant to the Plan, on the effective date thereof, Reorganized WMI, will issue 5,600,000 shares of duly authorized common stock, with a par value of $25 per share (defined in the Plan as Reorganized Common Stock). Pursuant to the Plan, each holder of an Allowed Claim relating to WMI’s Senior Notes, Senior Subordinated Notes or a General Unsecured Claim, as described herein and in the Plan, will be entitled to receive, on account of their Claim, their pro rata share of Creditor Cash and cash on account of Liquidating Trust Interests. The Plan contemplates a Rights Offering, pursuant to which certain holders of Allowed PIERS Claims, as described herein and in the Plan, will receive Subscription Rights entitling, but not obligating, such holders to purchase Additional Common Stock, i.e., 4,000,000 additional shares of duly authorized common stock of Reorganized WMI to be issued on the Effective Date of the Plan or as soon thereafter as is practicable pursuant to a Rights Offering, with a par value of $25 per share."

So here's Rosen's game plan.

There will be 5.6M plus 4M additional common shares in the new company. This would be valued at $260M.

WMI will have the WMB stock losses which are worth billions in the new WMI since it would appear in the current DS that these losses are not being claimed yet.

We're not really sure what the stock losses are but $26 billion is what WMI reported in their last 10-K. Just to assume worse case, let's say that value has declined in half. At 35% federaal tax rate and 8.7% state income tax (WMI is going to reorganize in Delaware) the capital stock loss on WMB is worth $5.681B to $11.362B against future income.

Even assuming the lowest value of $5.681B, WMI's reorganized value at IPO is $260M. Once the capital loss comes in its true value is $5.941B. At 10.6M shares that's $571/share.

So now we know why WMI senior bonds are trading at 109.510.

Note that only "qualified institutional" investors holding more than $4M in WMI notes will be allowed to partake in the offering of the first 5.6M shares. So it looks like Rosen makes a point to exclude the retail except in the case of the 4M additional shares to WAHUQ.

If the court allows this to happen, I don't want to live in this country anymore. Not saying it's less corrupt elsewhere, but it would be gut wrenching to observe the total failure of the American judicial system
