El pasado viernes Matt uno de los miembros del foro de Yahoo que suele hablar asiduamente con nuestros abogados le preguntó a Tal (Weil) que si era cierto que el US Trustee estaba preparando todo para aprobar un EC.
Su respuesta dejo a Matt un poco sorprendido pero dijo que así era. Ella comentó que probablemente el debtor state se opondría, los motivos estan claros... nadie quiere que los accionistas tengamos los datos totales de valoraciones y tengamos voz y voto en las negociaciones.
Todo esto es muy positivo pero a la vez nos acaba de levantar las alarmas que cuando los Billones lleguen tendremos que pelear contra los abogados que defenden a WAMU por el bien de los accionistas. Defenderemos nuestros intereses a través del EC y puedo casi afirmar que en el momento que se aprueba el valor de las acciones subirá considerablemente.
Esta fue la respuesta de Bopfan a este tema:
"She did say the Debtors would oppose the formation of the EC.
She did not say why."
Interesting. With A>L an EC would have a LOT to say about settlement discussions. TPG is being dealt with and is probably behaving well; it knows how these Chapter 11 situations are run and there's probably a good rapport between TPG and Weil since Bonderman recommended Weil. However, WMI, JPM, and the FDIC would be concerned about hedge funds getting involved. They're pushy, greedy, and their reknown aggression is not conducive to the type of delicate -- and quiet -- settlement talks WMI, JPM, and the FDIC would prefer.
Of course, we should expect hedge funds are holding WMI bonds, but that's quite a different play than the bonanza possible through a fair recovery to equity. As bondholders they (and others) have little leverage because there's little upside, so there's no point in agitating.
For this reason I don't view Tal's statement about WMI opposing creation of an EC as reflecting any intention to give equity the shaft.
Nevertheless, I don't mind that hedge funds will dominate the EC (even a small fund could easily buy up to the 4.5% limit) because despite their disruptiveness they can't do anything to hurt us retailers and their interests are allied with ours.
